Welcome to Floor Fluency, a proprietary flooring quoting platform operated by Floor Fluency LLC (or your legal entity) ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Floor Fluency website, platform, mobile applications (if any), integrations, and related services (collectively, the "Service").

1. Acceptance of Terms By accessing, browsing, or using the Service, or by clicking "I Agree" (or similar) during signup, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, do not access or use the Service.

2. Description of the Service Floor Fluency provides a cloud-based platform designed to help flooring professionals generate accurate, professional project quotes and estimates for residential remodels, multifamily properties, and commercial installations. Key features include proprietary quoting workflows, integration with Zoho Suite (CRM, Desk, etc.) for customer management and operations, compatibility with MeasureSquare (M2) for detailed measurements and estimates, and potential future connections to supplier B2B catalogs (while currently limiting Rollmaster primarily to catalog reference). The Service is provided on a subscription basis and is intended solely for business/professional use by flooring contractors, installers, sales teams, and related entities.

3. Accounts and Registration To use the Service, you must create an account with accurate information. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. Notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts for violations of these Terms.

4. Subscriptions and Billing

• Access to the Service requires an active paid subscription (pricing details available in your account or at floorfluency.com/pricing).
• Subscriptions are billed monthly or annually in advance via the payment method on file (processed through Zoho Payments or designated gateway).
• You agree to pay all applicable fees, taxes, and charges. Fees are non-refundable except as expressly stated in our Refund and Cancellation Policy.
• We may adjust pricing with 30 days' notice (via email or in-app). Continued use after changes constitutes acceptance.

5. License and Use Restrictions Subject to these Terms and your active subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes (generating flooring project quotes and managing related operations via integrations). You may not:

• Reverse engineer, decompile, or attempt to derive source code.
• Use the Service to build a competing product or service.
• Upload viruses, malware, or harmful code.
• Scrape, copy, or store large portions of the Service data without permission.
• Share login credentials or allow unauthorized access.
• Use the Service in violation of any law or regulation.

6. User Content and Data You retain ownership of any data, measurements, project details, customer information, or other content you upload or input into the Service ("Your Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display Your Content as necessary to provide and improve the Service (including integrations with Zoho and MeasureSquare). You represent that Your Content does not infringe third-party rights and complies with applicable laws (e.g., data privacy for customer info). We are not responsible for the accuracy or legality of Your Content.

7. Integrations and Third-Party Services The Service integrates with third-party tools such as Zoho Suite and MeasureSquare (M2). Your use of these integrations is subject to those providers' terms. We do not control or endorse third-party services and disclaim liability for their performance, data security, or availability.

8. Intellectual Property The Service, including all software, designs, workflows, trademarks, and proprietary algorithms, is owned by us or our licensors. Nothing in these Terms grants you ownership or additional rights beyond the limited license above.

9. Limitation of Liability To the maximum extent permitted by law, Floor Fluency shall not be liable for any indirect, incidental, consequential, special, or punitive damages (including lost profits, data loss, or business interruption) arising from your use of the Service, even if advised of the possibility. Our total liability shall not exceed the fees you paid us in the 12 months preceding the claim.

10. Disclaimer of Warranties The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee uninterrupted, error-free, or secure operation, nor accurate quote outcomes (which depend on your inputs and third-party data).

11. Termination We may suspend or terminate your access for any violation of these Terms, non-payment, or at our discretion with notice. Upon termination, your subscription ends, and you must cease using the Service. Sections that by nature survive (e.g., payment obligations, IP, limitations of liability) continue.

12. Governing Law and Dispute Resolution These Terms are governed by the laws of the State of California, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the state or federal courts located in El Dorado County, California (near Shingle Springs). You agree to submit to the personal jurisdiction of those courts.

13. Changes to Terms We may update these Terms from time to time. We will notify you of material changes (via email or in-app notice). Continued use after the effective date constitutes acceptance.
